Conduct commodities and securities regulatory defense (before SEC and CFTC), white collar criminal defense, and arbitrations before the NASD, NYSE, and NFA.  Manage cases involving front running, wash trading, allocation issues with block trades, and manipulation of futures on securities indexes (e.g., PTECH as previously traded on NYFE).  Negotiate customer claims relating to suitability issues, fraud, and failure to supervise.  Also handle complex commercial litigation, corporate transactions, commercial real estate, employment law, and civil rights litigation.  Extensive experience in federal and state motion practice, depositions, arbitrations, jury trials, administrative hearings, and appeals.  Appearances before Second Circuit and the United States Supreme Court. 

 

Accomplishments:

v  Appearance before United States Supreme Court in case against CFTC to contest its jurisdiction over off-exchange foreign currency trading.  Won unanimous decision.  

v  Obtained $1.8-million award against large brokerage for stealing an idea for a financial product from a broker.

v  Obtained $1.2-million award against large brokerage for wrongfully taking a broker’s insider stock.

v  Obtained $170,000 sanction against opposing counsel from the NYSE for discovery abuses.

v  Dealt with IMRO in the commodities context and represented individuals involved in the Sumitomo market manipulation litigation. Ultimately the client reached settlement and avoided criminal charges.

v  Represented principal of Quantum Fund in litigation against major brokerages.  Obtained a favorable negotiated result, subject to a confidentiality provision.

v  Successfully represented German nationals in commodities claims against Hornblower.

v  Represented Lehman Brothers in small securities and commodities related matters, including free riding issues, broker loans, and collection with respect to variable margin and liquidation issues.  Obtained various forms of relief, including default judgments.

General Franchise and Distribution Law, including drafting, negotiating, and enforcing franchise agreements, leases, web hosting agreements, software licenses, confidentiality agreements, non-competition and non-solicitation agreements, employment agreements, and severance agreements.  Counsel on various legal issues, including franchise law, employment law, FTC Rule, and individual registration issues regarding state regulations, as well as interpretation of NASAA UFOC Guidelines.  Manage trademark filings, arbitrations, and general litigation.

 

Town of Middleboro, Middleboro, MA

Middleboro Selectman, 2004–Present

Negotiated the first Tribal/Municipal Compact for a casino to come to the Town of Middleborough, the first in Massachusetts; handled all press contacts during Casino negotiations, as well as the political marketing of the casino concept; participated in the logistical set up and execution of the largest Town Meeting ever held in Massachusetts; Drafted bylaws and ordinances, resolved community disputes, addressed budgetary issues, and presided over various public hearings.  Worked closely with Town Counsel in municipal problem solving, as well as negotiation and drafting of contracts, open meeting law issues and FOIA requests.  Performed public advocacy relating to various community issues, including law enforcement.  Actively involved in collective bargaining matters and personnel management of more than 300 town employees.  Member of the Tax Incremental Financing Committee, which provides tax breaks to companies who will move to Middleboro.
